In the Supply Chain Services segment, it competes with other Group Purchasing Organizations (GPOs) and faces pricing pressures resulting from competition, consolidation among healthcare industry participants, managed care organizations, regulatory changes, government reimbursement actions, financial challenges of members and customers, and increased revenue share obligations. The company holds GPO member agreements, some extended during an August 2020 restructuring, with approximately 20% of gross administrative fees from these agreements remaining to be addressed as of June 30, 2025. The company expects to resolve most of these fees in fiscal year 2026. Competitive pressures may lead to higher revenue share obligations, termination of GPO members during contractual periods, and difficulties in retaining or expanding the GPO member base. The Performance Services segment competes based on the features and functionality of its technology and service platforms designed to optimize performance. The company anticipates increased competition due to consolidation in the healthcare information technology and healthcare services industries, which may negatively impact its competitive position, business, financial condition, and results of operations.
