Verra Mobility's Comment on Supply Chain

The company faces risks related to its suppliers, manufacturers, logistics providers, distributors, and other partners, including potential financial instability and economic factors that may affect operations. Customer concentration presents a significant risk, particularly with the New York City Department of Transportation (NYCDOT), a major customer in the Government Solutions segment. NYCDOT accounted for approximately 17.9% and 15.8% of total revenues in 2025 and 2024, respectively. The contract with NYCDOT expired on December 31, 2025, and a new five-year contract with materially different terms commenced on January 1, 2026. Additionally, three Commercial Services customers represented about 34.8% and 36.0% of total revenues in 2025 and 2024, respectively. Government contracts involve specific risks such as termination rights, payment delays, and audits. As of December 31, 2025, NYCDOT had an outstanding receivable balance of $72.9 million, which constituted 31.1% of the company's total accounts receivable, net.
