Cytosorbents's Comment on Sales, Marketing and Customers



The Company serves customers in France for cardiac surgery applications under an agreement with Terumo, which expired on January 1, 2025, but remains in effect during ongoing negotiations. In March 2021, the Company entered a global co-marketing agreement with B. Braun Avitum AG to promote CytoSorb alongside B. Braun's OMNI continuous blood purification platform and OMNIset Plus bloodline set, excluding the U.S. market. The CytoSorb adsorber is utilized in critical care for extracorporeal removal of cytokines and inflammatory mediators. The Company consults with Scientific Advisory Board members for expert opinions in basic science, critical care medicine, and cardiac surgery. It pays a perpetual royalty of 3% on sales of its technology to ROKK, LLC, covering products such as CytoSorb, VetResQ, ECOS-300CY, DrugSorb, and DrugSorb-ATR. Additionally, under a Settlement Agreement with Purolite, the Company holds exclusive rights to use patented technology related to adsorbent polymers for 18 years, with royalty payments ranging from 2.5% to 5% on certain product sales.
