Smta Liquidating Trust
The SMTA Liquidating Trust is a trust that was established to dispose of the assets held by the now-defunct electronics manufacturer, Sanmina-SCI Corporation. Sanmina-SCI Corporation was a leading electronic manufacturing services (EMS) company, which specialized in the design, fabrication, and assembly of printed circuit boards, electronic systems, and cables.
Sanmina-SCI Corporation announced its Chapter 11 bankruptcy filing in April 2001, and the case was officially closed in March 2005. The company ceased trading on NASDAQ in August 2001 and was delisted from the stock exchange. As a part of the bankruptcy settlement, a Liquidating Trust was formed, and all remaining assets, contracts, and claims were transferred to it.
The SMTA Liquidating Trust is managed by a Board of Trustees, who are responsible for executing the trust's mandate. The mandate of the trust is to dispose of the assets of Sanmina-SCI Corporation, distribute the proceeds to creditors, and close the trust. The trust is responsible for addressing various legal and financial issues faced by the company, including dealing with litigation claims, restructuring agreements, and disinvestment strategies.
The process by which the trust disposes of the assets consists of several steps. First, the Board of Trustees will identify and value the assets of the company. Then, the trustees will prepare a sales plan for each type of asset, which will be reviewed by the creditors' committee. Once the plan is approved, the Board will take bids from interested parties and select the highest bidder. The Board will then execute the sale and distribute the proceeds to creditors and investors, as appropriate.
The SMTA Liquidating Trust continues to operate to this day, but its activity has decreased significantly over the years. As more of the company's assets are disposed of, the trust's responsibilities diminish. The Board of Trustees will eventually dissolve the trust and close out the remaining claims, as outlined in the trust's legal documents.
