For fiscal year 2025, the named executive officers and their annual base salaries are as follows: Jeffrey Sprau, $1,000,000; Stephen Butz, $600,000; Steve Hansen, $575,000; Justin Schwartz, $450,000; and Bryce Seki, $470,000. The Chief Executive Officer conducts annual performance reviews of the other named executive officers and recommends compensation to the Compensation Committee, which approves the compensation packages. The Compensation Committee also determines the Chief Executive Officer's compensation based on performance assessments. FW Cook is retained by the Compensation Committee as an independent compensation consultant to provide market data and guidance on compensation practices. The executive compensation program comprises base salary, annual cash incentive awards, long-term equity-based compensation, employee benefits, perquisites, and employment agreements with termination benefits. Base salaries are determined by considering responsibilities, experience, prior performance, internal pay equity, and benchmarking against executives in comparable companies.
