purchase from us. From time to time, we may be unable to procure adequate quantities
of certain chemicals because of supply disruptions due to natural disasters
(including hurricanes and other extreme weather), industrial accidents, scheduled
production outages, producer breaches of contract, producer disruptions, high
demand leading to difficulties allocating appropriate quantities, port closures
and other transportation disruptions and other circumstances beyond our control,
or we may be unable to purchase chemicals that we are obligated to deliver to
our customers at prices that enable us to earn a profit. In addition, unpredictable
events may have a significant impact on the industries in which many of our
customers operate, reducing demand for products that we normally distribute
in significant volumes. As examples, recent impacts on supply sources for hydrochloric
acid have impacted our ability to meet all of our customers’ demands for
this product. Significant disruptions of supply and disruptions in customer
industries could have a material adverse effect on our business, financial condition
and results of operations.
Significant changes in the business strategies of producers could also disrupt
our supply. Large chemical manufacturers may elect to sell certain products
(or products in certain regions) directly to customers, instead of relying on
distributors such as us. While we do not believe that our results depend materially
on access to any individual producer’s products, a reversal of the trend
toward more active use of distributors would likely result in increasing margin
pressure or products becoming unavailable to us. Any of these developments could
have a material adverse effect on our business, financial condition and results
of operations.
