The Company operates without written agreements with its principal supplier, conducting transactions on an individual purchase order basis. In early 2024, under a Canon Letter of Intent with CMSU and CMSC, CMSC purchased two QT Breast Scanners and completed a Feasibility Study on these devices in the second half of 2024. Following the study, the Company and CMSC initiated discussions to establish a binding OEM manufacturing agreement. On March 28, 2024, the Company entered into a Feasibility Study Agreement with Canon Medical Systems Corporation (Canon) to assess the QT Scanner's business, technical, and clinical values. Under this agreement, Canon was prohibited from reverse engineering the scanner and was permitted to modify it only as necessary for the study. Each party bore its own expenses unless otherwise agreed, and all intellectual property rights remained with the Company. Subsequently, on March 28, 2025, the Company entered into a Canon Manufacturing Agreement appointing CMSC as the exclusive manufacturer of the QT Breast Scanners, which are to be distributed by NXC.
