In November 2023, Legend Biotech Ireland Limited and Novartis Pharma AG entered into the Novartis License Agreement. Under this agreement, Novartis holds an exclusive worldwide license to develop, manufacture, commercialize, and exploit certain CAR-T cell therapies targeting DLL-3. Novartis is responsible for all development, manufacturing, commercialization, and exploitation activities related to the Licensed Products, except for a Phase 1 clinical trial in the United States conducted by Legend Biotech Ireland Limited. Novartis will reimburse Legend for development costs associated with this trial. The agreement includes provisions restricting both parties from engaging in certain competing clinical trial or commercialization activities outside the agreement for specified periods. The agreement remains in effect on a Licensed Product-by-Licensed Product and country-by-country basis until the expiration of the royalty term and contains customary termination provisions.
