The company relies on raw materials for production, and increases in tariffs on these goods could raise production costs for original equipment manufacturers (OEMs), potentially leading to higher vehicle prices and reduced demand, which may negatively affect the company's profits. The company faces competition from emerging electric vehicle (EV)-only OEMs and Chinese automotive manufacturers, whose market share in the U.K. increased from approximately 8% in 2024 to 13% in 2025. The company depends on franchise agreements with manufacturers, which can be terminated or not renewed for various reasons, including network consolidation plans. In 2023, a U.K. OEM disclosed a five-year plan to reduce dealer partners, potentially requiring the company to dispose of or close up to 16 dealerships and possibly acquire others. In the U.S., manufacturers may have rights of first refusal on dealership sales, and franchise laws provide some protection against termination, though no guarantees exist. Manufacturers may also limit the number of dealerships the company can own. The company has at times failed to meet manufacturer requirements for acquisitions and has been asked to dispose of certain dealerships.
