Business Description
Hello Group Inc. is a Cayman Islands holding company with no equity participation in its consolidated connected subsidiaries, rather than a PRC operating company. Our Cayman Islands holding company does not actively handle commercial activities. We operate in China through I our PRC subsidiaries and (ii) the consolidated connected businesses with which we have contractual relationships and their Chinese subsidiaries. Foreign ownership of enterprises engaged in certain value-added telecommunication services, online audio-video program services, and some other industries is restricted or prohibited under PRC rules and regulations. As a result, we conduct these operations in China through the consolidated affiliated entities and their subsidiaries, relying on contractual agreements between our PRC subsidiaries, the consolidated affiliated entities, and their nominees.
Our subsidiaries, the consolidated affiliated entities and their shareholders have entered into a series of contractual agreements. These contractual arrangements enable us to:
receive the economic benefits that could potentially be significant to the consolidated affiliated entities in consideration for the services provided by our subsidiaries;
exercise effective control over the consolidated affiliated entities; and
hold an exclusive option to purchase all or part of the equity interests in the consolidated affiliated entities when and to the extent permitted by PRC law.
A series of contractual agreements, including business operation agreement, exclusive call option agreement, equity interest pledge agreement, exclusive cooperation agreement, power of attorney and spousal consent letter, have been entered into by and among our subsidiaries, the consolidated affiliated entities and their respective shareholders. Terms contained in each set of contractual arrangements with the consolidated affiliated entities and their respective shareholders are substantially similar.
