Emerson Radio's Comment on Sales, Marketing and Customers



The Company operates primarily in the domestic mass merchant distribution channel within the United States, Canada, and Mexico. Its core business includes selling, distributing, and licensing low- to moderately priced houseware and consumer electronic products. Product categories encompass houseware items, audio products, microwave ovens, clock radios, televisions, compact refrigerators, Bluetooth speakers, security products, toaster ovens, karaoke machines, massagers, heaters and fans, and wireless charging devices. Key customers include Amazon.com Inc., Fred Meyer Inc., Walmart Inc., and Variety Wholesalers, Inc. Amazon accounted for approximately 42% of net revenues in fiscal 2026 and 39% in fiscal 2025. Fred Meyer represented about 13% of net revenues in fiscal 2026, while Walmart accounted for approximately 31% in fiscal 2025. No other customer contributed more than 10% of net revenues in either period. The Company also distributes products through third-party sales representative organizations, which accounted for approximately 82% and 52% of net revenues in fiscal 2026 and fiscal 2025, respectively. Management has indicated that the loss or significant reduction of sales to key customers would have a material adverse effect on the business.
