Simon Mackenzie Smith, age 66, has served as Chairman of the Board of Directors since December 2025. He is Chairman of TORM's Nomination Committee and Transaction Committee and a member of the Remuneration Committee. He also serves as Chair of Dowlais Group plc and as a non-executive director at Interpath Limited. Smith has a 35-year background in corporate finance and investment banking, including senior leadership roles at Bank of America Merrill Lynch, and is a chartered accountant qualified with KPMG in 1985. Christopher Helmut Boehringer, age 55, has been a Board Member since 2015 and was Chairman from August 2015 to December 2025. During his chairmanship, he led TORM's Nomination and Remuneration Committees. Boehringer is Managing Director and Head of Europe at Oaktree Capital Management (International) Limited and serves on the boards of Utmost Group Limited, Marco Capital Holdings Limited, Draslovka a.s., and Oaktree Capital Management (International) Limited. He holds a BA in Economics from Harvard University and an MBA from INSEAD. Annette Malm Justad, age 67, has been a Board Member since April 2020 and is a member of TORM's Audit Committee, Nomination Committee, and Remuneration Committee. Pär Göran Trapp, age 64, is a Board Member with a term expiring in 2026. Rasmus Johannes Skaun Hoffman, age 48, and Liv Kjær, age 41, serve as Board Observers representing employees. Jacob Balslev Meldgaard, age 57, is Executive Director and Chief Executive Officer of TORM A/S. Kim Balle, age 57, is Chief Financial Officer.
