Officers & Directors
The board of directors comprises four members. Officers are appointed by the board and serve at its discretion without fixed terms. The board may appoint officers including Chairman, Chief Executive Officer, President, Chief Financial Officer, Vice Presidents, Secretary, Assistant Secretaries, Treasurer, and other positions as deemed appropriate. There are three independent directors—Kuo-Shui ("Ringo") Chao, Derek Alef, and Daniel Alef—each determined to be independent under SEC and NASDAQ rules. The sponsor has agreed to transfer founder shares to these three independent directors prior to the closing of the offering, contingent upon their remaining until the closing of a business combination. None of the executive officers or directors have received cash compensation for services rendered. Various fees and reimbursements may be paid to the sponsor, officers, directors, or their affiliates for services related to the initial business combination, including repayment of loans, office space reimbursement, consulting fees, and other expenses. Following the initial business combination, directors or management who remain may receive consulting, management, or other fees from the combined company, with all fees disclosed to shareholders.
