David Brace was appointed Lead Director of the Company effective November 13, 2025. Luis Rendón became Chief Operating Officer on December 10, 2025, succeeding Gordon Babcock. Diogo Silva was appointed Chief Financial Officer, succeeding David Harris who resigned effective December 5, 2025. Alberto Arias serves as the sole director of the general partner for Arias Resource Capital Fund II LP and Arias Resource Capital Fund II (Mexico) LP, which together hold approximately 44% of the Company's outstanding Common Shares. Mr. Arias also controls approximately 0.01% of the outstanding Common Shares. The remaining directors and executive officers collectively own less than 0.9% of the outstanding Common Shares. No director, executive officer, or chief financial officer has been subject to cease trade orders, bankruptcies, penalties, or sanctions within the relevant periods, except as noted. Some directors and officers hold positions in other reporting companies and potential conflicts of interest are managed by abstaining from voting when such conflicts arise.
