Jordan L. Kaplan serves as CEO and Kenneth M. Panzer as President and COO. Both executives have employment agreements that provide severance benefits if terminated without cause or if they resign for good reason, including following a change of control. The severance amount is calculated as three times the average of their annual compensation—comprising base salary and annual bonus—over the three full calendar years prior to termination. Neither executive is subject to post-departure non-compete restrictions. The executive officers possess extensive experience in the real estate industry, established reputations, and networks. They contribute to identifying acquisition, disposition, development, and borrowing opportunities; negotiating with tenants and property sellers; and managing development projects and property operations. As of December 31, 2025, the executive officers owned 3% of the outstanding common stock, which would increase to 17% if all their outstanding long-term incentive plans (LTIPs) and operating partnership (OP) units were converted into common stock.
