The Company serves customers including customer facilities and other railways. It depends on key suppliers of specialized railway equipment and materials, which are limited in number, as well as on the availability of diesel fuel. On April 14, 2023, the Company acquired Kansas City Southern (KCS). The Company's success depends on integrating KCS with its other U.S. rail carrier subsidiaries to achieve growth opportunities, synergies, cost savings, revenue growth, and profitability targets. This integration involves significant costs and potential disruptions. The Surface Transportation Board (STB) imposed conditions on the combined company, including commitments to maintain open gateways on commercially reasonable terms, environmental requirements, data reporting and retention obligations, and a seven-year oversight period.
