William R. Downs was appointed Chief Executive Officer on January 10, 2024, with a base annual salary of $150,000, payable semi-monthly but deferred until sufficient cash flow is available. Jeffrey J. Guzy served as Chief Executive Officer from January 22, 2020, until January 10, 2024, and continued as Chief Executive Officer, President, and Chairman under a 2023 employment agreement through February 14, 2026, with a base salary of $120,000 per annum, payable semi-monthly and deferred until funded. Wm. Barrett Wellman was appointed Chief Financial Officer on March 16, 2020, and resigned on January 10, 2024, with a base salary of $100,000, payable semi-monthly and deferred until funded. All three executives have the option to convert accrued unpaid base salary into shares of CoJax Common Stock at the lower of the initial public offering price of $2.00 or the current market price at the time of conversion.
