A Share Subscription Agreement was executed involving Viking, T&T Power Group Inc., Remora EQ LP, Simmax Corp., and Simson-Maxwell, resulting in a restructuring of Simson-Maxwell's ownership. Under the agreement, T&T Power Group Inc. acquired a 51% stake in Simson-Maxwell, while Viking retained a 49% interest. T&T committed to providing additional working capital and repaying Simson-Maxwell's outstanding credit facilities. Following the ownership change, Camber ceased consolidating Simson-Maxwell's financial results. The management of Simson-Maxwell is governed by a Unanimous Shareholders Agreement, which addresses board nominations and includes provisions for buying and selling ownership interests. Additionally, the company issued secured promissory notes in favor of Discover Growth Fund, LLC between December 2020 and December 2021.
