Mark Williams and Colin Gibson resigned from their positions on the same date. On November 17, 2021, Ben Kaplan entered into an Executive Consulting Agreement with the company to serve as CEO for an initial term of 36 months, with an annual base consulting fee of $288,000. He was granted a warrant to purchase 5% of the issued and outstanding common shares at an exercise price of $0.01 per share, expiring on November 16, 2024. No EBITDA milestones for bonus compensation were met as of December 31, 2025.
