Historically, AMC's product sales were conducted through Amazon online stores operated by Ants, Shanghai Xiaoyun Technology Limited (Xiaoyun), and Kunshan Yishijue Technology Limited (Yishijue). These entities authorized AMC to use their Amazon accounts under an Authorization Agreement effective from October 21, 2021, to October 20, 2026. Ants is 95% owned by Mr. Da. Xiaoyun and Yishijue, which were variable interest entities (VIEs) economically controlled by Mr. Da, transferred ownership of their Amazon online stores to AMC in August 2024 under business transfer agreements. The transfer included ownership of the stores, business operation rights, customer resources, operational and technical data, brand usage rights, intellectual property rights, and other related assets for RMB 30,000 each. Following the transfer, Xiaoyun and Yishijue ceased to be VIEs. Additionally, AMC acquired control of the payments platform PingPong in April 2022, enabling revenues to be paid directly to AMC.
