American Eagle Outfitters Inc's Comment on Supply Chain

The company designs its merchandise, which is manufactured by third-party factories primarily located in Asia. In Fiscal 2025, nearly all merchandise was sourced from non-North American suppliers, with no single factory or supplier accounting for more than 10% of total merchandise. A significant portion of merchandise is purchased through a single international buying agent, without exclusive commitments to any vendor. Quality control is conducted through inspections at distribution centers and manufacturing facilities. The company enforces a Supplier Code of Conduct, requiring new garment factories to pass initial inspections and ongoing audits to ensure compliance with working conditions, employment practices, and local laws. Since 2004, the company has been a certified member of the Customs-Trade Partnership Against Terrorism (CTPAT) program and was accepted into the Apparel, Footwear, and Textiles Center of Excellence and Expertise in 2016. Merchandise is shipped directly from vendors to company-owned distribution centers in Hazleton, Pennsylvania; Ottawa, Kansas; and Mississauga, Ontario, as well as to regional centers and some stores. A third-party distribution center in Mexico services company-owned stores and e-commerce operations in that region. The company and its products are subject to various trade laws, customs regulations, and international trade agreements, including government-imposed sanctions, tariffs, and duties.
