Alta Equipment Group Announces Proposed $500 Million Private Offering of Senior Secured Second Lien Notes to Refinance Existing Debt and Support General Corporate Purposes
LIVONIA, Mich., May 20, 2024 - Alta Equipment Group Inc. (NYSE: ALTG) revealed its plans today to offer $500 million in aggregate principal amount of senior secured second lien notes due 2029 in a private offering exempt from the registration requirements of the Securities Act of 1933, as amended. The company s domestic subsidiaries will guarantee the notes, which are secured by a second lien on nearly all of the company and its domestic subsidiaries assets.
Simultaneously, the company expects to extend and amend its existing $485 million senior secured asset-based revolving credit facility due 2026 and $70 million floor plan facility due 2026 to create a new $520 million senior secured asset-based revolving credit facility due 2029 and a $90 million floor plan facility due 2029. Collectively known as the First Lien Facilities, they will be secured by a first-priority lien on the same assets securing the notes.
