Yorkville Acquisition's Comment on Sales, Marketing and Customers
The company may use net proceeds held in the Trust Account to pay sellers of a target business upon completion of an initial business combination. If the combination is paid using equity or debt securities, or if not all funds from the Trust Account are used, remaining cash may be applied for general corporate purposes, including maintaining or expanding operations, paying principal or interest on indebtedness, acquiring other companies, or working capital. Additional financing may be required prior to closing the initial business combination to fund working capital needs and transaction costs. On February 11, 2026, the company borrowed $250,000 from its Sponsor through a convertible unsecured promissory note called the Working Capital Note. There is no limitation on raising funds through equity, equity-linked securities, loans, advances, or other indebtedness in connection with the initial business combination, including through forward purchase or backstop agreements following the Initial Public Offering.
