Officers & Directors
The executive officers other than Messrs. Hall and Shi, referred to as the Manager Executives, are employed by the Manager and do not receive cash or equity-based compensation from the Company for their executive roles. These Manager Executives also provide services to other investment vehicles managed by affiliates of the Manager, and their compensation is not specifically allocated to their services to the Company. Messrs. Hall and Shi were the only named executive officers employed by the Company during fiscal year 2025 and the only individuals for whom compensation determinations were made. Mr. Hall was appointed Chief Operating Officer effective June 2, 2025, and his compensation reflects a partial year of service. Both Messrs. Hall and Shi provide services to entities owned by KKR Funds, with the Company reimbursed for compensation paid in respect of these services; however, disclosed compensation reflects 100% of amounts paid by the Company. The Company’s compensation program is designed to align with stockholder interests and key corporate performance measures, incorporating stock-based compensation, independent consultant engagement, and policies prohibiting hedging and pledging of securities.
