Business Description
Xenia Hotels & Resorts, Inc. is a Maryland-based company that focuses on investing in strategically positioned luxury and upper-upscale hotels and resorts in the United States Top 25 lodging markets and significant leisure destinations.
XHR LP holds nearly all of the Companys assets and oversees all of its activities. The Operating Partnerships only general partner is XHR GP, Inc., which is fully owned by the Company.
For federal income tax purposes, Xenia is a real estate investment trust ("REIT"). The Company cannot operate or manage its hotels in order to qualify as a REIT. As a result, the Operating Partnership and its subsidiaries lease the hotel properties to XHR Holding, Inc. and its subsidiaries (collectively, "XHR Holding"), the Companys taxable REIT subsidiary ("TRS"), which manages the hotels with the help of third-party qualified independent contractors.
