The Company and its subsidiaries, including Assure Neuromonitoring, LLC, Assure Networks, LLC, Assure Networks Texas Holdings, LLC, and Assure Networks Texas Holdings II, LLC, operate in the neuromonitoring services market. They sold certain assets to National Neuromonitoring Services, LLC, with earnout payments to the sellers contingent on the number of surgical cases managed by the purchaser over a twelve-month period following the sale. The purchase price is also adjusted based on the number of post-closing business employees and intraoperative neuromonitoring (IONM) systems. Additionally, the Company is pursuing a transaction with Danam and intends to list Danam on the NASDAQ Capital Market after the merger closing.
